Terms of Service

Effective Date: [01/01/2026]

Operated by: Last Cam Standing (“Company,” “we,” “us,” or “our”).

Last Cam Standing is a skill-based competition in which players compete against each other, using their knowledge, speed, and reaction time, to win prizes. These Terms of Use (“Terms”) contain important provisions affecting your rights, including an ARBITRATION clause and a CLASS ACTION WAIVER (Section 19).

1. Acceptance of Terms

By accessing or using the Last Cam Standing website, mobile application, online qualifier game, live broadcast game, or any related services (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

2.1 Age Requirement

The Service is available only to individuals who are at least 18 years old (or the age of majority in your jurisdiction, if higher). By using the Service, you represent and warrant that you are at least 18, that you are a natural person personally assigned to the email address used to register, and that you have the power and capacity to enter into a contract with Company.

2.2 Geographic Eligibility

The Service is intended for residents of the United States. Participation may be void or restricted in jurisdictions where prohibited by law, including where skill-based, cash-prize competitions require additional licensing, bonding, or registration that Company has not obtained. Company reserves the right to restrict eligibility on a state-by-state basis as needed to comply with applicable law.

2.3 Restricted Countries

You represent that you are not a citizen of, domiciled in, a resident of, or physically present or located in any country subject to comprehensive U.S. sanctions or export restrictions, or any other country Company designates as ineligible from time to time. [Note to Company: finalize this list with counsel and keep it current, as sanctioned-country lists change.]

2.4 One Account; Good Standing

You may not register for or maintain more than one active account. You are not eligible to use the Service if your access has been suspended or your account previously terminated by Company without reinstatement.

2.5 Other Restrictions

Employees, contractors, and immediate family members of Company, its affiliates, and production partners may be ineligible to win prizes, as further described in Section 8.

3. Description of the Service

3.1 Online Qualifier

A free-to-play trivia game accessible via web and mobile, hosted by the animated virtual host character “Maxwell Knight.” Players earn points (not cash) based on the speed and accuracy of their answers; points contribute to a public leaderboard.

3.2 Live Broadcast Game

Top-ranked leaderboard players may be invited to compete in a live, webcam-based, head-to-head buzzer tournament for real cash prizes, as further described in Section 8.

3.3 Companion Play

Viewers may play along in real time during live broadcasts through a synchronized companion experience, which may include SMS-based prize opportunities, as described in Section 9.

3.4 Contest-Specific Rules

Each individual game, tournament, or broadcast cycle offered through the Service (a “Contest”) may be governed by its own official rules (“Contest Rules”) covering matters such as entry procedures, scoring, prize amounts and award conditions, and timing. Contest Rules will be made available to you before you enter a Contest and are incorporated into these Terms by reference. If a Contest Rule conflicts with these Terms, the Contest Rule governs solely with respect to that Contest. Company may amend, suspend, or cancel a Contest at its discretion, but changes will not affect a Contest already in progress or completed, except as required by law.

3.5 No Guarantee of Advancement

Placement on the leaderboard does not guarantee an invitation to the Live Broadcast Game. Company retains sole discretion over selection, scheduling, and vetting of live contestants.

4. Account Registration

You must create an account to access certain features. You agree to provide accurate, current information, keep your login credentials confidential, and notify us promptly of any unauthorized use of your account. You are responsible for all activity occurring under your account, whether or not authorized by you.

5. Webcam, Video, and Live Broadcast Consent

5.1 Real-Time Video

Certain features of the Service, including the Live Broadcast Game, require you to activate your device’s webcam and appear on live, real-time video. By participating, you consent to being filmed, recorded, live-streamed, and broadcast.

5.2 Photo Alternative (Qualifier Only)

In the Online Qualifier only, players without an active webcam may participate using an uploaded static photo in place of live video.

5.3 Recording, Rebroadcast, and Promotional Use

You acknowledge and agree that your image, voice, likeness, username, gameplay, chat messages, on-camera reactions, and any statements you make while using the Service may be recorded, stored, edited, streamed, broadcast (including on television and internet platforms), archived, and used by Company for purposes including quality assurance, analytics, content moderation, public display, advertising, and marketing, in any media now known or later developed, worldwide, without further notice or compensation to you, except as separately set out in a written contestant agreement (if any) executed before a live broadcast appearance.

5.4 License Grant and Moral Rights Waiver

By using the Service, you grant Company a worldwide, non-exclusive, royalty-free, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, modify, publicly perform, publicly display, and create derivative works from your video, audio, username, chat messages, gameplay data, uploaded photos, and other content you submit, for any lawful business purpose, including promotional and commercial uses. You waive any moral rights you may have in such content to the extent permitted by applicable law.

5.5 No Expectation of Privacy On-Camera

Video and audio captured during the Live Broadcast Game, and any portion of the Online Qualifier where your webcam is active, is not private and may be publicly viewable in real time and afterward.

5.6 Voluntary Participation

Participation in webcam and live-broadcast features is entirely voluntary. If you do not wish to be recorded or broadcast, do not use those features; you may still play the points-based, non-camera portions of the Online Qualifier where available.

5.7 Technical Requirements

You are solely responsible for ensuring your device, camera, microphone, and internet connection meet the technical requirements necessary to participate.

6. Virtual Host Disclosure

Maxwell Knight is an animated, computer-generated character and does not represent a real human host. Any dialogue, reactions, or interactions attributed to Maxwell Knight are generated or scripted by Company’s systems and are provided for entertainment purposes.

7. Points, Leaderboard, and No Cash Value (Online Qualifier)

Points earned in the Online Qualifier have no cash value, cannot be redeemed directly for cash or prizes, are non-transferable, and confer no property right. Points and leaderboard standing may be reset, adjusted, or forfeited at Company’s discretion in cases of suspected fraud, technical error, or violations of these Terms.

8. Prizes, Jackpots, and Live Game Rules

8.1 Skill-Based Competition

The Live Broadcast Game is a game of skill in which outcomes are determined predominantly by contestants’ knowledge, speed, and reaction time, not chance.

8.2 Jackpot Mechanics

Personal and Game Jackpots accrue as described in the Contest Rules published by Company for each broadcast cycle. If these Terms conflict with the Contest Rules on a gameplay-specific matter, the Contest Rules govern.

8.3 Vetting and Background Checks

Invitation to the Live Broadcast Game is conditioned on successful completion of Company’s standard vetting process, which may include identity verification, background checks, and on-camera/technical readiness confirmation. Company may disqualify or decline to invite any qualifier for any lawful reason, including failure to pass vetting.

8.4 Identity and Age Verification for Prize Award

Before awarding any cash prize, Company may require you to complete an identity-verification process. This process may include submitting a government-issued identification document (such as a driver’s license or passport) and a live selfie photo or short video, which Company or its verification vendor will compare against your ID to confirm your identity and age. You consent to this collection and comparison, which may involve facial biometric information, solely for verification, fraud-prevention, and prize-eligibility purposes, as further described in the Privacy Policy. Company may withhold, delay, or deny a prize if you decline to complete verification or if verification fails.

8.5 Prize Payment and Taxes

Winners are solely responsible for all applicable federal, state, and local taxes on any prize received. Company may require winners to complete tax reporting forms (e.g., IRS Form W-9 and, where applicable, Form 1099) before releasing any prize.

8.6 Void Where Prohibited

Prize eligibility is void in any jurisdiction where participation in a skill-based, cash-prize competition of this kind is restricted or prohibited by law.

8.7 No Purchase Necessary

No purchase or payment is required to participate in the Online Qualifier or to be eligible for invitation to the Live Broadcast Game.

9. Companion Play and SMS/Text Messaging

  • If you opt in to receive text-message trivia prompts during a broadcast, standard message and data rates from your mobile carrier may apply.
  • You may opt out of SMS communications at any time using the instructions provided in the message (e.g., replying STOP).
  • Company is not responsible for delays or failures in SMS delivery caused by your carrier or device.

10. Anti-Cheating Policy

10.1 Zero-Tolerance Policy

Company is committed to a fair, competitive environment for all players. Any form of cheating, exploitation, or manipulation of gameplay, the Service, or other players is strictly prohibited. Violations may result in disqualification, forfeiture of prizes or points, suspension, or permanent termination of your account.

10.2 Prohibited Conduct

  • Automated Gameplay — using bots, scripts, or automated means to answer questions or buzz in.
  • Collusion — coordinating answers or sharing information with other players or third parties during live games.
  • Multiple Accounts — creating or using more than one account to participate in the same session or circumvent eligibility rules.
  • Unauthorized Aids — accessing external search engines, databases, or other digital aids in real time during a game.
  • Account Sharing — permitting another person to access or control your account during gameplay.
  • Data Exploitation — extracting, harvesting, or accessing internal game data or backend systems without authorization.
  • Disruption or Tampering — interfering with the buzzer, scoring, jackpot, or live-stream systems.

10.3 Detection and Enforcement

Company may monitor gameplay for suspicious activity using methods that may include response-time analysis, geolocation/IP tracking, anomaly detection, and cross-account behavioral analysis. If cheating is suspected, Company may, without prior notice: suspend or terminate your account; disqualify you from current or future games; require forfeiture of any prize, points, or credit obtained through dishonest means; and, where appropriate, report the conduct to law enforcement.

10.4 Appeals

If you believe your account was penalized in error, you may contact us at lastcanstandingtrivia@gmail.com within 7 calendar days of receiving notice, with a detailed explanation and supporting evidence. Company’s decision on an appeal is final.

11. User Content and Prohibited Content

The Service may let you upload or submit photos, chat messages, usernames, or other content (“Your Content”). You are responsible for ensuring Your Content complies with these Terms. Your Content must not include content that, in Company’s reasonable discretion, falls into any of the following categories (“Prohibited Content”):

  • Violates any law or regulation, or promotes illegal activity.
  • Harasses, threatens, or promotes violence against any person or group.
  • Constitutes hate speech, or promotes racism, sexism, or other bigotry.
  • Is sexually explicit, pornographic, or sexually suggestive.
  • Depicts graphic violence or gore, or simulations thereof.
  • Discloses another person’s personal information without consent.
  • Is spam or unsolicited advertising.
  • Impersonates another person or entity, or misrepresents your affiliation.
  • Contains malware, viruses, or phishing content.
  • Infringes another party’s copyright, trademark, patent, or other intellectual property or publicity rights.
  • Spreads false, misleading, or deceptive information.
  • Promotes self-harm, suicide, or other self-injury.

Company may remove Prohibited Content and may suspend or terminate accounts that submit it.

12. User Conduct Guidelines

You agree not to, directly or indirectly:

  • Use the Service to violate any law or infringe any third party’s rights (including intellectual property, privacy, or publicity rights).
  • Copy, distribute, sell, license, or commercially exploit any part of the Service without Company’s written consent.
  • Circumvent Company’s systems, including by accessing the Service after being suspended or blocked.
  • Scrape, crawl, or spider the Service other than through published, authorized interfaces.
  • Frame, mirror, or display the Service or Company’s trademarks without written consent.
  • Falsely claim an endorsement or partnership with Company.
  • Misrepresent your identity, age, or affiliations.
  • Submit Prohibited Content.
  • Use another user’s content outside what is authorized by normal use of the Service.
  • Harass, bully, stalk, intimidate, or defame any person.
  • Solicit money or items of value from other users.
  • Interfere with, disrupt, or damage the Service or its systems.
  • Reverse-engineer, decompile, or disassemble any Service code or software.
  • Cheat or engage in the conduct prohibited by Section 10.
  • Act in a way that is harmful to Company or its reputation.

Company may monitor use of the Service, investigate suspected violations, and refer matters to law enforcement where appropriate. You agree to cooperate in good faith with any such investigation.

13. No Endorsements; Third-Party Links

The Service may contain links to or incorporate third-party websites, resources, or services (“Third-Party Material”). Company is not responsible for the accuracy, legality, or availability of any Third-Party Material, and a link does not imply Company’s endorsement of it. You assume all risk arising from your use of Third-Party Material.

14. Intellectual Property

14.1 Company Content

The Service, including the game format, rules, virtual host character, graphics, software, and all related intellectual property, is owned by Company or its licensors and is protected by copyright, patent, trademark, and other laws, including format materials registered with the U.S. Copyright Office, the Writers Guild of America, and FRAPA, and technology covered by issued U.S. patent rights.

14.2 Limited License to You

Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal, non-commercial entertainment purposes, subject to your compliance with these Terms.

14.3 User Content License

Your license grant to Company regarding content you submit is set out in Section 5.4 above.

15. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY BUZZER, TIMING, OR SCORING MECHANISM WILL FUNCTION WITHOUT LATENCY OR TECHNICAL ERROR.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY, ITS AFFILIATES, AND ITS PRODUCTION PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, INCLUDING ANY TECHNICAL FAILURE, DELAY, OR DISCONNECTION AFFECTING YOUR ABILITY TO BUZZ IN, ANSWER, OR OTHERWISE COMPETE. COMPANY’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO COMPANY IN THE PRECEDING TWELVE MONTHS (WHICHEVER IS GREATER), EXCEPT WHERE PROHIBITED BY LAW.

17. Indemnification

You agree to indemnify and hold harmless Company, its affiliates, officers, and production partners from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

18. Updating These Terms

Company may modify these Terms at any time to reflect changes in law, technical adjustments, or business needs. Changes are effective when posted unless stated otherwise, and will not apply retroactively to claims existing before the “last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

19. Dispute Resolution and Arbitration

19.1 Agreement to Arbitrate

Except as set out below, you and Company agree to resolve any dispute arising out of or relating to these Terms or the Service through binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court.

19.2 Class Action Waiver

You agree that any arbitration or proceeding shall be conducted on an individual basis only, and not as a class, collective, or representative action.

19.3 Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles, except where preempted by federal law or where a different state’s consumer-protection or prize law mandatorily applies based on your state of residence.

19.4 Venue

To the extent any matter is not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in Westchester, New York.

20. Termination

Company may suspend or terminate your account or access to the Service at any time, with or without cause, including for violation of these Terms. You may stop using the Service at any time.
